1. Who we are

The software is sold by Jonathan Metzger, a sole proprietor located in San Diego, California, USA, trading as Metzger Planning ("we", "us"). Contact: support@metzgerplanning.com.

2. Business customers only

Metzger Planning is sold to businesses for their internal business use. By purchasing, you confirm you are buying on behalf of a company, sole proprietorship, or other organization, and not as a consumer for personal, family, or household use, and that you have authority to agree to these terms on its behalf.

3. What you're buying

Metzger Planning is a Windows desktop application for demand forecasting and allocation planning, delivered as a downloadable installer. Your purchase is a subscription license to use the software for as long as the subscription is paid and current. It is not a transfer of ownership and not a one-time perpetual purchase. Use of the installed software is governed by the End User License Agreement (EULA) presented during installation; if anything here conflicts with the EULA, the EULA governs use of the software and these terms govern the sale.

A subscription includes three seats. Each seat covers one planner on one machine at a time. Additional seats are charged at the per-seat rate shown at checkout.

4. Free trial

New subscriptions start with a free trial of the length shown at checkout (currently 30 days). A payment card is collected when you sign up. Nothing is charged during the trial. Unless you cancel before the trial ends, the trial converts automatically into a paid subscription and the card on file is charged the first subscription payment on the day the trial ends. You can cancel at any point during the trial and pay nothing at all.

5. Automatic renewal, and how to cancel

Subscriptions renew automatically. At the end of each billing period, your subscription renews for another period of the same length and the payment method on file is charged the then-current rate for your seat count, until you cancel. Annual plans renew every 12 months; monthly plans renew every month.

You can cancel at any time, with no cancellation fee, from the billing portal linked on your welcome page or by emailing support@metzgerplanning.com. Cancellation takes effect at the end of the period you have already paid for: you keep access until then, and you are not charged again. Cancelling does not by itself refund the current period - see the Refund Policy.

When a subscription ends or lapses, the license ends with it and the software stops being licensed for use. Data files Metzger Planning created on your machines stay on your machines and remain yours.

6. Pricing, discounts, and taxes

Prices are those shown at checkout, in US dollars. Introductory or founding-customer discounts apply only for the number of billing periods stated in the offer; after that the subscription renews at the standard list price. We may change pricing for future periods, and we will give at least 30 days notice to the email address on your account before a change takes effect. Prices exclude tax. You are responsible for any sales, use, or similar tax on your purchase.

7. Payment processing

Payments are processed by Stripe, Inc., an independent payment processor, under Stripe's own terms. We never see or store your full card details. Because Stripe, your bank, and the card networks are independent of us, we are not responsible for their acts, omissions, outages, or errors, including a payment that is declined, delayed, duplicated, misapplied, or reversed by any of them.

If we have charged you in error or received a payment we were not owed, we will refund the amount we actually received. That refund is your sole remedy for a billing error, and we are not responsible for any overdraft, interest, penalty, or currency-conversion cost your own bank charges you. Please check each receipt and tell us about any suspected error within 60 days of the charge.

If a payment fails or is charged back, we may suspend or end the subscription and the license along with it.

8. Delivery and license keys

After you sign up you receive a download link on the confirmation page, a receipt by email from Stripe, and an activation key for your machines. If you have any problem downloading, installing, or activating, email us and we'll make it right.

Download the installer only from this website or through the application's own update feature, and check that the installer is digitally signed by Jonathan Metzger before running it (right-click the file, Properties, Digital Signatures). We are not responsible for any copy of the software obtained anywhere else, or for any copy that has been modified or repackaged by anyone other than us.

10. Your data, and what the app transmits

Metzger Planning runs on your machine. Your business data stays there - your workbooks, forecasts, scenarios, costs, and customer information are not uploaded to us, and we have no access to them.

So that a paid license can renew and reach the right machine without you pasting in a new key, an installed and licensed copy checks in with our licensing endpoint about once a day. That check-in sends only your customer identifier, an irreversible hash identifying the machine, and the installed version number, and our server logs the network address the request came from. It sends no business data, no file contents, and no usage analytics. See the Privacy Policy for the full picture, including what the website and checkout collect.

You are responsible for your own backups. We cannot recover data on your machines.

11. Acceptable use

You may not redistribute, resell, rent, sublicense, or host the software as a service; remove or alter notices or license keys; work around the licensing or seat limits; or reverse engineer the software, except where that restriction cannot lawfully be imposed or where the license of an open-source component allows it. You may not use the site or the software for unlawful purposes.

12. Service availability

The software and this site are provided on an "as available" basis. We do not offer a service level agreement and do not promise any uptime, availability, or response time. The licensing and update endpoints are hosted services that may be slow, interrupted, or discontinued; the application is built to keep working offline for a grace period when it cannot reach them. We may provide updates and new versions, but we are not obliged to, and we may discontinue the product or any feature.

13. Open-source components

Metzger Planning includes open-source software and pretrained machine-learning model weights owned by their respective authors and provided under their own licenses. A complete list, with each component's license, is installed with the software as THIRD-PARTY-NOTICES.txt in the application folder, and is available from us on request. Those components are provided by their authors without warranty. Nothing in these terms limits any right their licenses grant you.

14. Disclaimer and limitation of liability

Metzger Planning is a planning tool. Forecasts, allocations, buy plans, reorder points, projections, and every other figure it produces are estimates produced by statistical and machine-learning methods from the data and assumptions you supply. They are not guarantees, not predictions of actual results, and not professional, financial, accounting, tax, legal, or investment advice. You are responsible for reviewing and verifying output before relying on it, and for every business decision you make.

The software and site are provided "as is" and "as available", without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost or inaccurate data, excess or obsolete inventory, markdowns, stockouts, missed sales, or business interruption, arising out of or relating to the software, this site, or these terms. Our total liability for all claims will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud. If you are in a jurisdiction that does not allow some of these exclusions, they apply as far as that jurisdiction permits and the rest stays in effect.

15. Dispute resolution, arbitration, and class action waiver

Please read this section carefully; it affects how disputes are resolved.

First, contact us. Before starting formal proceedings, send a written description of the dispute to support@metzgerplanning.com and work with us in good faith for 30 days to resolve it.

If that does not resolve it, any dispute arising out of or relating to the software, this site, or these terms will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, before one arbitrator, seated in San Diego County, California, in English. Judgment on the award may be entered in any court of competent jurisdiction.

You and we each waive any right to a jury trial, and agree that claims may be brought only individually and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If that waiver is unenforceable for a particular claim, that claim proceeds in court and the rest of this section still applies.

Carve-outs: either of us may bring a qualifying individual claim in small claims court, and either of us may ask a court for injunctive relief to protect intellectual property or confidential information or to stop unauthorized use of the software, without arbitrating first.

Opting out. You may opt out of this arbitration and class-waiver section by emailing us within 30 days of your purchase, stating your name, your company, and that you opt out of arbitration. Opting out costs nothing and changes nothing else in these terms.

Any claim must be brought within one year after it arises, unless a longer period is required by law.

16. Governing law

These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules, and excluding the UN Convention on Contracts for the International Sale of Goods. For anything not subject to arbitration, the exclusive venue is the state and federal courts in San Diego County, California, and you consent to their jurisdiction.

17. Territory

Metzger Planning is offered for use in the United States. If you buy or use it elsewhere you do so on your own initiative and are responsible for local law. You confirm you are not located in a country subject to comprehensive US sanctions and are not on a US restricted-party list.

18. Changes

We may update these terms from time to time. The version posted here when you purchase applies to that purchase, and the version posted when a subscription renews applies to that renewal period. Material changes affecting a renewal will be sent to the email address on your account at least 30 days in advance.
